Terms of Service

These terms govern access to and use of the Valdrics platform. By accessing or using the service, you agree to these terms on behalf of your organization.
1. Service Scope
Valdrics provides software for cloud and software spend governance, analysis, approval routing, and operational reporting. Features may vary by subscription plan.
2. Account and Security Responsibilities
- You are responsible for authorized user access and credential security.
- You must maintain accurate account and billing information.
- You are responsible for reviewing and approving remediation actions before enabling automated execution modes.
3. Acceptable Use
You may not use the service for unlawful activity, security abuse, unauthorized system access, or activity that materially disrupts platform operations.
4. Billing and Subscription
Fees, plan limits, and billing cycles are defined in your selected subscription. Unless otherwise agreed in writing, subscription fees are non-refundable and renew according to the active billing cycle.
5. Confidentiality and Data Processing
Each party will protect the other party’s confidential information and use it only for service delivery and support obligations. Data processing terms, including DPA provisions where required, are governed by the applicable customer agreement.
6. Intellectual Property
Valdrics retains all rights, title, and interest in the service. Customers retain ownership of their data and configuration inputs.
7. Warranties and Disclaimers
To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis, except as expressly stated in a signed agreement.
8. Limitation of Liability
To the maximum extent permitted by law, each party’s aggregate liability arising from or related to the service is limited to the fees paid or payable for the service in the 12 months preceding the event giving rise to the claim, excluding liability that cannot be limited by law.
9. Termination
Either party may terminate for material breach if the breach is not cured within a reasonable cure period. Upon termination, access ends and data handling follows the applicable retention and export policy.
10. Governing Law and Disputes
Governing law and dispute venue are defined in the executed customer order form or master agreement. If no such agreement exists, contact legal support for default terms prior to purchase.

12. Enterprise Contracting and Procurement
Public terms explain the baseline service posture, but enterprise evaluation usually needs a more explicit commercial and legal process. Order-form review, governing-law questions, DPA attachment, and procurement-specific requirements should move into enterprise review rather than general support email.
